1. Introduction
These Terms and Conditions ("Terms", "Terms and Conditions") govern your relationship with LaundriPOS (the "Service") operated by Techzoid Innovation Limited ("us", "we", or "our"), a company registered in Nigeria with Registration Number RC 8623365.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.
2. Definitions
"Service" refers to the LaundriPOS software platform, including web application, mobile application, and all related services.
"Customer" or "You" refers to the individual, business, or legal entity that has subscribed to use the Service.
"Account" means the unique account created for You to access our Service.
"Subscription" refers to your paid access to the Service under one of our pricing tiers (Starter, Professional, or Enterprise).
"User" refers to any individual authorized by the Customer to use the Service (e.g., staff members, managers).
"Content" means any information, data, text, software, music, sound, photographs, graphics, video, messages, or other materials.
"Customer Data" refers to all data, information, and materials uploaded, submitted, or transmitted by Customer or Users through the Service.
3. Acceptance of Terms
By creating an Account, accessing or using the Service, you acknowledge that:
- You have read, understood, and agree to be bound by these Terms
- You are at least 18 years of age or the legal age of majority in your jurisdiction
- You have the authority to bind your business or organization to these Terms
- All information provided during registration is accurate and complete
- You will maintain the accuracy of such information
4. Account Registration
4.1 Account Creation
To use the Service, you must:
- Create an Account by providing accurate and complete information
- Choose a secure password and keep it confidential
- Notify us immediately of any unauthorized access to your Account
- Accept responsibility for all activities that occur under your Account
4.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your Account credentials
- All activities that occur under your Account
- Ensuring that all Users comply with these Terms
- Immediately notifying us of any security breach
4.3 Account Restrictions
You may not:
- Share your Account credentials with unauthorized persons
- Use another person's Account without permission
- Create multiple Accounts for fraudulent purposes
- Use automated means to create Accounts
5. Subscription and Billing
5.1 Subscription Plans
LaundriPOS offers three subscription tiers:
Starter: ₦12,000 per month for single-location laundries
Professional: ₦18,000 per location per month for 2–5 locations
Enterprise: ₦15,000 per location per month for 6+ locations
All prices are in Nigerian Naira (₦) and exclude any applicable taxes.
5.2 Free Trial
- New customers receive a 30-day free trial
- No credit card required to start trial
- Full access to features during trial period
- Trial automatically converts to paid subscription unless cancelled
- Only one free trial per business entity
5.3 Billing Cycle
- Subscriptions are billed monthly or annually in advance
- Monthly subscriptions: Billed on the same day each month
- Annual subscriptions: Billed once per year with 16.67–20% discount
- Billing begins immediately after the free trial ends
5.4 Payment Methods
- Payment is processed through Paystack or Flutterwave
- Accepted payment methods: Bank transfer, debit cards, credit cards
- You authorize us to charge your payment method automatically
- You must maintain valid payment information
5.5 Payment Terms
- All fees are due immediately upon invoice
- Late payments may result in service suspension after a 7-day grace period
- A late fee of ₦2,000 may be charged for payments overdue by more than 7 days
- Continued non-payment may result in account termination
5.6 Taxes
- All fees are exclusive of applicable taxes (VAT, sales tax, etc.)
- You are responsible for paying all applicable taxes
- If we are required to collect taxes, they will be added to your invoice
5.7 Price Changes
- We reserve the right to modify subscription prices
- Price changes will be communicated at least 30 days in advance
- Existing customers may be grandfathered at current rates
- Annual subscriptions are locked at the rate for the subscription period
- Continued use after price increase constitutes acceptance
6. Upgrades and Downgrades
6.1 Upgrading Your Plan
- You may upgrade your subscription at any time
- Upgrades take effect immediately
- You will be charged the prorated difference for the remainder of the billing cycle
- New features become available immediately upon upgrade
6.2 Downgrading Your Plan
- You may downgrade your subscription with 30 days notice
- Downgrades take effect at the start of the next billing cycle
- No refunds will be issued for the current billing period
- Features not included in the lower tier will be disabled
- Data exceeding the lower tier limits may be archived or deleted
6.3 Location Changes
- Professional tier: You may add locations (2–5 max)
- Adding locations increases monthly fee proportionally
- Must upgrade to Enterprise at 6+ locations
- Removing locations decreases fee at next billing cycle
7. Customer Responsibilities
7.1 Lawful Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:
- Violate any applicable local, state, national, or international law
- Use the Service to transmit any unlawful, threatening, abusive, defamatory, obscene, or otherwise objectionable material
- Impersonate any person or entity or misrepresent your affiliation
- Interfere with or disrupt the Service or servers
- Attempt to gain unauthorized access to any portion of the Service
- Use the Service for any fraudulent or illegal activity
7.2 Customer Data
You are solely responsible for:
- The accuracy and legality of all Customer Data
- Obtaining necessary permissions and consents for Customer Data
- Compliance with data protection laws regarding Customer Data
- Backup of Customer Data (we provide backup but recommend your own)
- All transactions and activities conducted through your Account
7.3 SMS and WhatsApp Integration
IMPORTANT: LaundriPOS integrates with third-party SMS and WhatsApp services, but:
- You must obtain your own API credentials from SMS providers (Termii, BulkSMS, Twilio, etc.)
- You are responsible for all costs associated with SMS and WhatsApp messages
- You must comply with all applicable telecommunications and messaging laws
- You are responsible for obtaining customer consent for automated messages
- We are not liable for issues with third-party SMS/WhatsApp providers
- You must maintain sufficient credits/balance with your SMS provider
7.4 Users and Staff
You are responsible for:
- All Users you add to your Account
- Ensuring all Users comply with these Terms
- Any actions taken by Users under your Account
- Immediately removing access for terminated employees
- Maintaining appropriate user permissions and access controls
7.5 Security
You agree to:
- Implement reasonable security measures for your Account
- Use strong passwords and change them regularly
- Restrict access to authorized Users only
- Monitor your Account for suspicious activity
- Notify us immediately of any security breaches
8. Intellectual Property
8.1 Our Intellectual Property
The Service and its original content, features, and functionality are owned by Techzoid Innovation Limited and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
We retain all rights, title, and interest in and to:
- The LaundriPOS software and platform
- All associated trademarks, logos, and branding
- All documentation and training materials
- All improvements, updates, and derivative works
8.2 Your License to Use
We grant you a limited, non-exclusive, non-transferable, revocable license to:
- Access and use the Service for your internal business purposes
- Use the Service in accordance with these Terms
- Access documentation and training materials
You may NOT:
- Copy, modify, or create derivative works of the Service
- Reverse engineer, decompile, or disassemble the Service
- Rent, lease, lend, sell, or sublicense the Service
- Remove or alter any proprietary notices on the Service
- Use the Service to develop a competing product
8.3 Customer Data Ownership
You retain all rights to your Customer Data. By using the Service, you grant us a limited license to:
- Store, process, and transmit Customer Data as necessary to provide the Service
- Use aggregated, anonymized data for analytics and service improvement
- Backup and secure Customer Data
We will not:
- Sell your Customer Data to third parties
- Use your Customer Data for purposes other than providing the Service
- Access your Customer Data except as necessary to provide support or comply with legal obligations
8.4 Feedback and Suggestions
If you provide feedback, suggestions, or ideas about the Service:
- You grant us a perpetual, worldwide, royalty-free license to use such feedback
- We may incorporate your feedback into the Service without compensation
- You waive any rights to such feedback or improvements based on it
9. Service Level and Availability
9.1 Service Availability
- We strive to maintain 99.5% uptime for Starter and Professional tiers
- Enterprise tier includes a 99.9% uptime SLA
- Scheduled maintenance will be announced in advance when possible
- Emergency maintenance may be performed without notice
9.2 Service Modifications
We reserve the right to:
- Modify, suspend, or discontinue any part of the Service
- Update features and functionality
- Change Service specifications
- Add or remove integrations
We will provide reasonable notice of material changes when possible.
9.3 No Warranty
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability
- Fitness for a particular purpose
- Non-infringement
- Uninterrupted or error-free operation
- Accuracy or reliability of results
10. Limitation of Liability
10.1 Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TECHZOID INNOVATION LIMITED BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Cost of substitute services
- Damages resulting from your use or inability to use the Service
- Damages resulting from unauthorized access to your Account or Customer Data
- Damages resulting from third-party services (SMS providers, payment processors)
10.2 Maximum Liability
Our total liability to you for all claims arising from your use of the Service shall not exceed:
- The amount you paid to us in the 12 months preceding the claim, OR
- ₦50,000 (Fifty Thousand Naira)
Whichever is greater.
10.3 Third-Party Services
We are not responsible or liable for:
- SMS or WhatsApp service providers (Termii, BulkSMS, Twilio, etc.)
- Payment processors (Paystack, Flutterwave)
- Internet service providers
- Mobile network operators
- Any other third-party services you use in connection with the Service
10.4 Essential Purpose
Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. If these laws apply to you, some or all of the above disclaimers or limitations may not apply, and you may have additional rights.
11. Indemnification
You agree to indemnify, defend, and hold harmless Techzoid Innovation Limited, its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms
- Your use or misuse of the Service
- Your Customer Data
- Your violation of any rights of another party
- Your violation of any applicable laws or regulations
- Your SMS or WhatsApp communications to customers
- Actions of any Users under your Account
12. Termination
12.1 Termination by You
You may terminate your subscription at any time by:
- Cancelling through your Account dashboard
- Contacting customer support
- Providing written notice via email
Termination takes effect at the end of your current billing period.
12.2 Termination by Us
We may suspend or terminate your Account immediately if:
- You breach these Terms
- You fail to pay amounts due after the grace period
- We are required to do so by law
- Your use of the Service poses a security risk
- You engage in fraudulent or illegal activity
12.3 Effect of Termination
Upon termination:
- Your access to the Service will be disabled
- Your subscription will not renew
- You will no longer be charged
- We may delete your Account and Customer Data after 30 days
- You remain liable for all charges incurred before termination
- No refunds will be issued except as required by our Refunds Policy
12.4 Data Export
Before termination, you should:
- Export all Customer Data you wish to retain
- Download any reports you need
- Remove integrations with third-party services
We will provide a 30-day grace period after termination to export data.
13. Data Protection and Privacy
13.1 Privacy Policy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
13.2 Data Processing
We will:
- Process Customer Data only as necessary to provide the Service
- Implement appropriate security measures
- Not sell your data to third parties
- Comply with applicable data protection laws
13.3 Data Security
We implement industry-standard security measures including:
- Encryption of data in transit and at rest
- Regular security audits and updates
- Access controls and authentication
- Regular backups
However, no method of transmission or storage is 100% secure. You acknowledge the inherent security risks of internet transmissions.
13.4 Data Breach Notification
In the event of a data breach affecting your Customer Data, we will:
- Notify you within 72 hours of becoming aware
- Provide details of the breach
- Describe steps being taken to address the breach
- Cooperate with you on breach notification obligations
14. Confidentiality
14.1 Confidential Information
Each party agrees to keep confidential all non-public information disclosed by the other party, including:
- Technical information
- Business information
- Customer lists
- Pricing information
- Proprietary methods
14.2 Exceptions
Confidential information does not include information that:
- Is publicly available through no breach of this agreement
- Was rightfully known prior to disclosure
- Is independently developed
- Is required to be disclosed by law
15. Dispute Resolution
15.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.
15.2 Jurisdiction
You agree that any legal action or proceeding arising from these Terms shall be brought exclusively in the courts located in Lagos, Nigeria.
15.3 Informal Resolution
Before filing a legal claim, you agree to first contact us at [email protected] and attempt to resolve the dispute informally.
15.4 Arbitration (Optional)
If informal resolution fails, disputes may be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act of Nigeria.
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy and Refunds Policy, constitute the entire agreement between you and Techzoid Innovation Limited regarding the Service.
16.2 Amendments
We reserve the right to modify these Terms at any time. We will notify you of material changes via:
- Email to your registered address
- Notice in your Account dashboard
- Update to the "Last Updated" date
Continued use after changes constitutes acceptance of the new Terms.
16.3 Waiver
Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision or any other provision.
16.4 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force.
16.5 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms at any time, including in connection with a merger, acquisition, or sale of assets.
16.6 Force Majeure
We shall not be liable for any failure to perform our obligations under these Terms due to circumstances beyond our reasonable control, including:
- Natural disasters
- War or terrorism
- Government actions
- Internet or telecommunications failures
- Labor disputes
- Pandemics or epidemics
16.7 Relationship of Parties
Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and us.
16.8 Survival
Provisions that by their nature should survive termination shall survive, including:
- Intellectual property provisions
- Limitation of liability
- Indemnification
- Dispute resolution
- Payment obligations
17. Specific Terms for Business Customers
17.1 Business Use Only
The Service is intended for business use only. If you are using the Service for business purposes:
- You represent that you have authority to bind your organization
- Your organization is responsible for all activities under the Account
- You agree to these Terms on behalf of your organization
17.2 Multiple Locations
If you operate multiple locations:
- Each location requires a separate location license under Professional or Enterprise tier
- You are responsible for ensuring all locations comply with these Terms
- You may not share a single-location subscription across multiple physical locations
17.3 Staff and Users
- You may add unlimited staff users at no additional charge
- Each user must have their own login credentials (no sharing)
- You are responsible for all actions taken by your staff
- You must immediately remove access for terminated employees
18. Prohibited Uses
You may NOT use the Service to:
- Violate any laws or regulations
- Infringe intellectual property rights
- Transmit viruses, malware, or harmful code
- Attempt to gain unauthorized access to systems
- Interfere with the Service's operation
- Collect information about other users without consent
- Engage in spamming or unsolicited messaging
- Harass, abuse, or harm other users
- Engage in fraudulent activities
- Use the Service for time-sharing or service bureau purposes
- Use the Service to support a third-party business
- Benchmark or compete with the Service
- Reverse engineer the Service
19. Acceptable Use Policy
19.1 Fair Use
You agree to use the Service in a manner that does not:
- Impose an unreasonable load on our infrastructure
- Interfere with other customers' use
- Violate any reasonable usage limits
19.2 Abuse Prevention
We reserve the right to suspend or terminate Accounts that:
- Exhibit patterns of abuse
- Generate excessive API calls
- Store excessive amounts of data beyond plan limits
- Engage in automated or scripted usage that impacts service performance
20. Export Controls
You agree not to export or re-export the Service to any country, person, or entity subject to Nigerian or international export restrictions or sanctions.

BY CREATING AN ACCOUNT OR USING THE SERVICE, YOU ACKNOWLEDGE THAT:
- You have read and understood these Terms
- You agree to be bound by these Terms
- You have the authority to enter into this agreement
- You will comply with all applicable laws
- You understand our liability limitations
- You understand your responsibilities regarding SMS/WhatsApp integration
- You understand the payment and refund terms
